Buyer Agreement
Effective Date: 7 July 2026
This Buyer Agreement ("Agreement") is entered into between TransferDue LLC ("TransferDue"), a limited liability company registered in Wyoming, United States, and you ("Buyer").
1. Acceptance of Terms
By creating an account and using the TransferDue platform, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the platform.
2. Description of Service
TransferDue is automated Thai condo document-checking software ("Service"). It helps buyers understand uploaded transaction documents, identify missing paperwork, cross-check visible details across those documents, and prepare better questions before paying a deposit or hiring a lawyer. The Service is informational software only. It is not a legal due-diligence engagement, a title search, a valuation, an escrow service, or legal, financial, investment, brokerage, or other professional advice, and your use of it does not create any attorney-client, fiduciary, brokerage, or professional advisory relationship between you and TransferDue.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Document Uploads
You represent and warrant that you have the right to upload all documents submitted to the Service. You grant TransferDue a limited, non-exclusive license to process uploaded documents solely for the purpose of generating document-check reports and summaries.
5. Report Accuracy and Limitations
Reports are generated from uploaded documents and automated processing workflows and are provided on an "as is" basis. While TransferDue aims to provide useful and accurate information, reports may contain errors, omissions, inconsistencies, or incomplete extracted information. Certain information displayed by the Service may originate from uploaded user documents or third-party information sources. TransferDue does not independently validate all uploaded or external information. Always review reports carefully before relying on them. If a report contains a verified material error, you may claim a refund of the credit used to unlock it under the Report Accuracy Guarantee in our Refund Policy.
6. Payment and Credits
Access to full reports requires the purchase of unlock credits. Credit purchases are processed by Stripe, whose consumer service Link acts as the merchant of record for the payment transaction; the payment is additionally subject to the payment terms presented at checkout, and any applicable VAT, GST, or sales tax is collected and remitted by the merchant of record. Credit purchases are refundable only as described in our Refund Policy — including its Report Accuracy Guarantee — or as required by applicable law. Prices are displayed at the time of purchase and are subject to change with notice.
6a. Free Preview Limits
Before any purchase, you may run a limited number of free preview analyses. These limits — currently two preview runs per account, with at most one run every eight hours, plus a bounded number of document pre-checks — reset when you purchase credits and may be adjusted to prevent abuse. The limits in force are always stated on the Pricing page. When a limit is reached, no run is started and nothing is charged.
7. Intellectual Property
All content, software, and materials on the platform are owned by or licensed to TransferDue. You receive a limited, non-transferable license to use the platform for lawful personal or internal business purposes in preparing for your own transaction.
8. Privacy and Data
Your use of the Service is subject to TransferDue's Privacy Policy. Uploaded documents and personal data are handled in accordance with applicable data protection law. Contact [email protected] with any privacy questions.
9. Prohibited Uses
You may not use the Service to: (a) violate any applicable law; (b) upload documents you do not have rights to share; (c) attempt to reverse-engineer or circumvent any security measure; (d) resell or redistribute reports without authorization.
9a. Sanctions and Eligibility
The Service is provided by a United States company and is subject to U.S. economic-sanctions and export-control laws. By using the Service, you represent and warrant that you are not located in, ordinarily resident in, or accessing the Service from a country or region subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not a person on the U.S. Treasury Department's Specially Designated Nationals (SDN) list or otherwise blocked under applicable sanctions. In addition, the Service is not offered to, and you may not access it if you are located in or ordinarily resident in, Russia or Belarus. You agree not to use the Service in violation of any applicable sanctions or export-control law, and we may suspend or terminate access if we reasonably believe this section has been breached.
10. Limitation of Liability
To the fullest extent permitted by law, TransferDue's aggregate liability arising out of or related to this Agreement shall not exceed the amount you paid for the Service in the twelve months preceding the claim. TransferDue is not liable for indirect, incidental, or consequential damages.
11. Modifications and Termination
TransferDue may update this Agreement at any time. Continued use of the Service after notice of changes constitutes acceptance of the updated Agreement. TransferDue may suspend or terminate access for material breach of this Agreement.
12. Data Retention and Your Right to Erasure
Uploaded documents and generated reports are retained for up to 90 days of inactivity. Activity is defined as case creation, document upload, report completion, or report download. If your case has been inactive for 90 days, you will receive an email warning 7 days before permanent deletion. To reset the retention clock, sign in and view or download your report — that is sufficient to keep your data active.
You may request erasure of your personal data and all associated documents at any time by deleting your account via the platform (Account → Delete account). Erasure is immediate and irreversible. For further privacy enquiries see Section 8 (Privacy and Data).
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles. Nothing in this clause deprives you of the protection of any mandatory consumer-protection rules of the country where you reside that cannot be derogated from by agreement.
14. Language
The English-language version of this Agreement is its sole authoritative and governing version. Any translation into another language is provided for your convenience only. In the event of any conflict, ambiguity, or inconsistency between the English version and a translation, the English version prevails.
